  • Kroger and Albertsons: A Good Match?

    In October 2022, The Kroger Company and Albertsons Companies Inc. announced their intention to merge their grocery businesses in the United States. By the fall of 2023, the proposed merger was facing lawsuits and protests from various stakeholders including politicians, employee labour unions, and consumers. The merger agreement required the deal to be completed by mid-January 2024, although this date could be extended if both sides agreed. This seemed an appropriate time for an analyst to take a closer look at the merger’s potential benefits, including evaluating potential synergies to be gained from the proposed merger. However, the analysis would have to consider the industry’s regulations. An analysis of the proposed merger would have to carefully consider both the qualitative and quantitative benefits that could arise from The Kroger Company and Albertsons Companies Inc. joining forces in the highly competitive US grocery market.

  • To ESOP or Not - That is the Question

    Consolidated Safety Systems (CSS) was a government contractor that consulted in a variety of areas, serving government and private sector institutions. CSS was co-founded by Jolanda Janczewiski and Dennis Lauchner. The two had grown the company for over 30 years to a large and well-respected name in the government contracting business. The company became employee-owned through an Employee Stock Ownership Plan (ESOP), which had scheduled payouts to the two owners. Dennis has received his payout and had a minimal interest in the business. Jolanda's payouts started in 2017. She recognized that the ESOP had created some issues, including servicing the debt associated with the buyout, creating inequities among legacy employees and new hires, which led her to consider whether the ESOP should continue. Jolanda had become increasingly concerned about the expense of the ESOP, which was only expected to increase more in the future. This might be the time to reverse the ESOP if it looked like it had become too burdensome to CSS both in dollars and in potential dissatisfaction among new employees who did not benefit as much as legacy employees. To reverse the ESOP would involve buying back stock from employees, and to do this, while there were many qualitative considerations, Jolanda also needed to know CSS's value in order to make a fully informed decision. The decision to ESOP or not was complex, with strong pros and cons on both sides of the question.

  • Lockheed Martin and Leidos Holdings: A Reverse Morris What?

    This case is from the point of view of Peter Clarke, Vice President of Mergers and Acquisitions for Lockheed Martin's Information Systems and Global solutions (IS&GS) division. Clarke has a personal decision to make about keeping his substantial Lockheed stock holding or converting to the partner company (Leidos Holdings) stock. About a year prior to the decision point in the case, Lockheed made a strategic decision to divest its IS&GS division, which engaged in consulting (largely defense and other governmental agency consulting). Clarke reviews Lockheed's actions which led up to the decision to divest the IS&GS division through a Reverse Morris Trust (RMT), which included rejecting a more conventional spin-off or outright sale. The RMT, a complex transaction which required the creating of a new company and a merger with a second company, Leidos Holdings, allowed the divestiture to be tax-free. There were a number of rules required for this transaction; for example, former Lockheed shareholders needed to own more than 50% of the resulting company. Clarke believed the enterprise IT, cybersecurity, intelligence, health IT, and engineering business was a good growth area. Clarke needed first understand this unusual financial transaction and make a personal decision about whether keeping his Lockheed shares or exchanging them for Leidos shares would be the best decision for him.
