• Connor, Clark & Lunn

At the end of 2001, the senior partners of an investment management firm were concerned. The bear market was going on two years, and, worse, the firm's performance over that time had been less than that of the index. Clients, more than disappointed, were starting to vote with their feet. The firm, a top-10 player in Canada's institutional investment business, had claimed client assets under management of more than $15 billion in 1998, but was now under serious threat. Without some change in the fortunes of the business, a continued loss of revenue would endanger its viability.

In the previous few years, the two senior partners had been working behind the scenes on an idea that they thought could return the business to success. The hitch was that the idea involved a radical transformation of the firm. While the senior partners had seen some success with the small steps they had taken with this new business model, they needed to ask their partners to commit to a still largely unproven strategy - a business model that not only had no known comparable model but that also ran contrary to contemporary views of how an asset management firm should be structured. Would their partners commit to the unproven plan?

  • Hedging Currency Risk at TT Textiles

This case highlights the impact of currency rate fluctuations on the profitability of an export-oriented textile manufacturing firm, TT Textiles. Against the backdrop of the economic crisis of 2007-08, when the Indian rupee (INR) was expected to appreciate to an unprecedented high of 35 INR per U.S. dollar (US$), the company had entered into a swap deal based on the historical stability of the Swiss franc (CHF) against the US$. At the time of making it, the deal had looked relatively safe and very lucrative. But once the global financial crisis struck in 2008, it started making sizable mark-to-market losses. The unexpected behaviour of the supposedly steady exchange rate between the US$ and the CHF was perplexing. Fortunately, things turned around in 2009 and TT Textiles was no longer in the red. Yet, there was uncertainty about the future. In March 2009, with three months left on the contract, Sanjay Jain, the managing director, was faced with the dilemma of whether to quit then and there or hold the deal till maturity.

  • Guna Fibres, Ltd.

"The chief executive of a small yarn-production company in India must resolve an unexpected cash shortage. The task for the student is to evaluate the causes of this shortage (using a completed "base-case" forecast given in the case) and assess the usefulness of various possible remedies suggested by managers. The company is unable to liquidate a seasonal working-capital loan for the requisite 30 days each year, a difficulty arising from two classic causes: secular growth of the company and declining profitability. Possible remedies include reducing inventory through more efficient transportation and warehousing, reducing credit terms to customers, switching from seasonal to level production, improving profitability, decreasing dividends, and reducing sales growth."

  • Sunrun: Raising the Series A Round

The Sunrun case profiles the evolution of this residential solar financing startup, focusing on the company's milestones leading up to the Series A financing round. Founded by two GSB graduates, Ed Fenster and Lynn Jurich, together with one of Fenster's high school classmates, Sunrun applied an innovative model from the commercial sector to residential solar, whereby homeowners could lease the solar panels that Sunrun owned and installed on rooftops. The case goes on to describe the co-founders' journey seeking Series A funding after they have invested their own money and raised outside capital from angel investors. It also provides the perspective of one of the leading VC firms in the Valley with regard to the strengths and weaknesses of the deal. Ultimately, the co-founders faced a decision: Should they accept more favorable terms with lower valuation from VC #1, more onerous terms but a higher valuation from VC #2, or could they afford to wait a bit longer until they closed a partnership to create a tax equity fund (used to fund the solar installations), which would potentially increase their valuation and the overall attractiveness of the investment?

  • Facebook, Inc.: The Initial Public Offering

It was May 16, 2012, and the highly anticipated pricing of Facebook Inc.'s initial public offering (IPO) was underway. An analyst at CXTechnology Fund was preparing to speak to the lead underwriter about his final interest in the deal. The analyst had reviewed Facebook's phenomenal growth, its profitable business model and the competitive landscape for the social networking industry. The IPO appeared to be oversubscribed with heavy interest from institutional and retail investors alike, but the valuation seemed expensive, even by technology standards. The analyst needed to make a decision on whether to buy shares in the IPO or not. A spreadsheet for students is available, product 7B12N031.

  • The Perfect Storm: What Happens When the Market Moves Four Standard Deviations?

Adam Carter was the portfolio manager for Tate Modern Finance III, L.P. ("Tate" or the "Fund"), the third in a series of U.S. commercial real estate debt funds sponsored by the London-based Tate Partners. The Fund was capitalized with $700 million of equity commitments, including a $50 million Sponsor commitment. The Fund's objective was to acquire income-producing commercial real estate mortgages at conservative attachment points in the capital structure, leverage these investments modestly, and generate mid-teen, net returns. The return objectives were consistent with prior funds and represented an alternative means of investing in commercial U.S. real estate equity that was felt to be overvalued at the time (2006). In theory, a debt strategy would provide more protection, and be more conservative, than an equity-oriented strategy due to the multiple layers of debt and equity subordination that insulated the Fund's investments.

  • Business Valuation: Standard Approaches and Applications

This note provides an introduction to the standard approaches used to value businesses from the perspective of the investor (e.g., discounted cash flow, market multiples). Each approach is illustrated with a specific practical application. The note provides an in-depth example of discounted cash flow valuation of a firm including cash flow forecasting, terminal value estimation, and cost of capital determination. To focus the analysis, the note does not treat the specific complexities associated with M&A analysis.

  • The Restructuring of Danfurn LLC

This case is taught at the University of Virginia McIntire School of Commerce in the fourth year course, ""Corporate Restructuring."" The case is suitable for advanced undergraduates or MBS students that have already completed a course in corporate finance or valuation. The material would fit well in a second Corporate Finance class, particularly if the instructor would like to devote some time to discussing financial distress and restructuring. It could also work well in a business reorganization class at a law school. Danfurn LLC is a U.S. manufacturer and retailer of high-end furniture that is in financial distress following a 2007 LBO and subsequent declines in profitability in the wake of the financial crisis of 2007-08. The nearly 50-year-old company has recently blown through cash flow covenants on its $100 million senior financing facility and is seeking a restructuring of its capital structure that will allow the company to survive. Although Danfurn's lenders are hopeful that a consensual decision can be reached on how to restructure the company without resorting to a bankruptcy filing, filing for bankruptcy or even liquidating the company are very real possibilities. This case is an exercise in negotiating a consensual restructuring of a financially distressed company when stakeholders have varied incentives, legal rights, potential remedies, and interests in how the company will be managed going forward. The case discussion works best if students are divided into groups representing the different stakeholder groups-the senior lender, mezzanine lender, board, private equity owner, and founder interests-and are asked to think about how best to maximize their positions while recognizing the costs of failing to reach a negotiated outcome.

  • FX Risk Hedging at EADS

In 2008, EADS, the European aerospace group that owns Airbus, was faced with the decision of how best to hedge a large and growing mismatch between its dollar revenues and its euro manufacturing costs. Specifically, the company needed to decide if it would continue hedging primarily with forward contracts, but in much higher volumes and at increasingly unfavorable rates, or to break with past practice and begin using foreign exchange option contracts. The decision would have consequences for EADS' profitability, cash flow, and its ability to fund strategic investment programs crucial to its ability to remain competitive with Boeing. Students must address questions concerning the proper way to measure foreign exchange exposures, the objectives of a rational risk management policy and program for a company like EADS competing in a duopoly with Boeing, the differences between hedging with FX options versus FX futures, counterparty risk, and hedge accounting, among other considerations.
