  • Daksh and IBM: Business Process Outsourcing in India - Part 1. The Formative Years

An undisputed success story, Daksh eServices was one of the leading Business Process Outsourcing (BPO) service providers in India. Launched by a group of friends in 2000, it started by providing web-based customer support services for global clients. By 2004, having added voice capability to complete its service offering, it had grown into a 6,000 strong company with reported revenues of over US$50 million. Given the market conditions, Daksh had all the right numbers to be a sell out IPO. At the same time, IBM had expressed a concerted interest to buy out the company. What had emerged as the relevant question was, whether or not the IPO was the best way to go ahead. Alternatively, was the sell out to IBM a better option? If so, what should be the asking price? While the top management at Daksh evaluated both options, industry analysts reflected as to why a BPO company like Daksh made sense for IBM in the first place.

The battle began in January 2006 and lasted six months. From the outset, Arcelor's management resisted Mittal's deal using every possible defense involving politicians, bankers and public relations advisors, among others. There was even a proposed merger with a Russian company in a desperate effort to avoid the hostile takeover bid. Finally, on 25 June 2006, after the fierce battle that included allegations of racism and much animosity, Arcelor heeded its shareholders' wishes and accepted the bid. The initial offer was 18.6 billion and the final price paid by Mittal was 26.9 billion. During the six months, Mittal's share price had increased by almost 25%, with Arcelor's more than doubling.

  • Convertible Bonds of Countrywide Financial Corporation

On October 22, 2004, junior trader Mary Lucas was browsing through the recent trading activities of a few convertible bonds the firm held. First Convergence Inc. was a hedge fund specializing in convertible arbitrage founded by three Wall Street traders in 2002. Prior to starting at the firm, she had known little about convertible bonds. Now she stayed late almost every day in order to learn as much about the business as possible. Suddenly, she noticed something unusual about the trading of a convertible bond issued by Countrywide Financial Corporation (NYSE:CFC). Although the average daily trading volume on this bond had been only three thousand during the previous month, it had shot up to fifty thousand in the last three days. Lucas remembered this particular bond. In fact, First Convergence was actually holding a slightly different convertible bond (known as the liquid yield option note or LYON) issued by the same company. On August 20, Countrywide had offered to exchange the new convertible bond for the original LYON. First Convergence had accepted the exchange offer, thus ending up with the new convertible bond. At that time, Lucas was asked to help evaluate the offer, so she was familiar with the features of both bonds. "What's happening?" she asked herself. She quickly checked the recent price movement on Countrywide's stock. The stock had plunged 11.5 percent on Wednesday, October 20, after the company announced earnings below analysts' expectations. On the same day, trading on the convertible shot up. These two events must be related. But how? Is there a potential investment opportunity?

  • Citigroup's Shareholder Tango in Brazil (A)

Citigroup has discovered that Daniel Dantas, hired five years earlier to manage Citigroup's $750 million private equity investment in a Brazilian telecommunications industry joint venture, has allegedly mismanaged more than $300 million in assets and contracts. Dantas's misconduct relates to his management of Citigroup's CVC Fund and II-FIA, a legal entity representing a group of large Brazilian pension funds. Together with Dantas's Grupo Opportunity, CVC and II-FIA own Brasil Telecom, the third largest telecommunications company in the country. The partnership's pyramidal ownership structure makes his actions difficult to track. Citigroup must quickly determine how to disrupt Dantas's intricately woven web of control without allowing him to extract further value from the partnership. This case provides concrete examples of the expropriation risks joint venture partners face when unfamiliar with pyramidal group ownership structures.

  • The End of Exponential Growth: Why Real Growth May End Soon

Exponential economic growth in the western world began in the late-18th century and has continued, more or less unabated, until the present. However, the author warns that anyone who believes that the future will be a straightforward continuation of the past must address the fact that seven key drivers of past growth in industrialized countries are showing signs of saturation or exhaustion. Only one of the seven is a viable driver of future economic growth: increasing the technological efficiency of converting resource inputs into 'useful work' and power. The author also looks ahead to the next century and outlines the key obstacles to sustainability by 2100, outlining some of the harsh realities that our mistreatment of the environment will reap.

  • NeuroEconomics: How Neuroscience Can Inform Economics

In the last two decades, Behavioral Economics (the importation of ideas from Psychology to Economics) has become a prominent fixture on the intellectual landscape. In turn, it has spawned the field of 'Neuroeconomics', whereby ideas from Neuroscience are imported into Economics. The study of the human brain and nervous system is beginning to allow for direct measurement of thoughts and feelings; and this, in turn, is challenging our understanding of the relation between mind and action, leading to new theoretical constructs and calling old ones into question. The authors describe the findings to date, covering automatic vs. controlled processes and cognitive vs. affective processes, and their general implications for Economics.
