  • De-SPACing: Tattooed Chef Inc.

In late October 2020, hedge fund analyst Maya Botti was evaluating the decision to vote for the proposed merger of Forum Merger IIa special purpose acquisition company (SPAC), with Ittella International, a plant-based food company; if the SPAC shareholders voted in favor of the merger, Botti also had to recommend that the hedge fund's leadership redeem the hedge fund's shares in Forum II, sell the shares in the open market, or continue as shareholders of the merged company. The case provides an opportunity to discuss SPACs, including their structure; key players and participants in them; and their risks, rewards, and potential pitfalls. The case also provides an opportunity to discuss differences between regular IPOs and to compare and contrast IPOs to SPACs. This case can be taught in a second-year elective course on capital markets, financial institutions, and markets or capital raising. It can fit in a module that explores financial engineering and instruments such as collateralized debt obligations or that discusses ways of going public and contrasting them with regular IPOs.

  • LGB Bank: Composite Microservices in a Large Global Bank (A)

This case study is organised into four parts (A through D), meant to be read and discussed progressively. Jane Blanston, a newly hired Enterprise Architect at LGB Bank, had developed over her career a specialisation in Service-Oriented Architecture (SOA). Prior to joining LGB, she had recent successes in a smaller regional bank where she had replaced its outdated batch-mode file transfer style of integration with a real-time SOA style of integration. This provided the bank with a more flexible architecture and an abstraction layer which enabled the bank to make large scale changes in the backend (e.g., a core banking system replacement) with minimal impact to the bank's front-end banking channels (e.g., internet banking). Furthermore, with an SOA in place, the bank had the ability to rapidly assemble new solutions by reusing existing services. Blanston was headhunted by LGB and offered a job based on her expertise in SOA and reputation as a problem solver. LGB specifically wanted her to review its current microservices-based architecture (a subset of SOA) and to propose an improved architecture which emphasised service reuse, like what she had implemented in the past. Even though LGB was a larger bank with larger integration problems, She decided to take up the challenge. She accepted the job offer to join LGB's technology department based in Singapore.

  • The Holcim Acquisition: Cementing SMC’s Leadership in the Philippines

In May 2019, a retail investor in the Philippines had to decide whether or not to immediately sell his shares in Holcim Philippines, Inc (HPI). The San Miguel Corporation had just announced the acquisition of around 86 per cent controlling interest in HPI. The price of HPI had increased considerably in the months leading up to the acquisition announcement, and this investor was anticipating a large gain. Now, he needed to run a fair value estimate of HPI’s price using both the capital-asset-pricing-model-based discounted cash flow method and the comparable multiples method in order to decide what to do: Should he sell his shares at the prevailing market price, wait until the future potential tender offer, or hold his shares indefinitely?

  • CanniMed Therapeutics Inc.: The IPO Dilemma

In November 2016, the chief executive officer of CanniMed Therapeutics Inc. was considering the company's options for raising capital through an initial public offering. The decision was critical for the Saskatchewan-based medical cannabis company, which had been an early leader in this fast-growing sector and was seeking to take advantage of growth opportunities. The company's history in the space dated back to 2000, when it was awarded a sole source five-year contract from Health Canada to supply Canadians with medical marijuana. Since then, the demand for medical cannabis had grown exponentially, and policy liberalization had opened up prospects for the recreational market. CanniMed Therapeutics Inc. had positioned itself as a leader with extensive experience in research, development, and commercialization. The decision for it to go public was clouded by many burning issues and risks, which led to intense speculation among investors as to whether the firm should be going public at this time and, if so, at what price.

  • Creating a Representative Voice: The Association of Independent Wealth Managers (AIWM) In Singapore

Set in 2020, this case focuses on the strategic roles of the Association of Independent Wealth Managers (AIWM), as an industry advocate of the independent asset managers (IAMs) in Singapore. This case is motivated by two observations: first, the rapid growth of the IAM sector in Singapore, and second, the need for self-regulation, self-education, and self-advocacy among the burgeoning group of diverse IAMs on the island. The case examines the motivation behind the establishment of the AIWM in 2011, its vision and mission, its roles toward members in terms of services provided, contributions to the sector, and the strategic plans to represent the IAMs as key stakeholders in the evolving wealth management ecosystem of Singapore. The case also explores the value propositions of the IAM's wealth management model, the public's awareness and reception of the model, and how the AIWM can more effectively advocate the IAM model to various stakeholders. Lastly, it prompts the reader to think deeply on the open question of how the AIWM can help its members address a pertinent question that clients are asking the IAMs - "How are IAMs able to help clients achieve a more holistic and inclusive wealth management offering?"
