  • UR Investing: The H&R REIT Decision

In April 2014, a research analyst for UR Investing, an investment group from the University of Regina, in Saskatchewan, Canada, was contemplating the decision of investing in a real estate investment trust (REIT). The decision had strategic implications because it would affect the risk profile of the student-managed fund. The analyst was given the task of evaluating the H&R REIT in particular and estimating a target price for H&R's units. He had to carefully weigh the benefits in terms of returns generated against the risk of taking a position in the REIT. He had to analyze the strategic value of investing in REITs and decide whether to recommend that UR Investing should buy H&R units.

  • A "Compelling and Pre-emptive" Offer for the Valspar Corporation

In May 2015, the chief executive officer (CEO) of the Valspar Corporation (Valspar) contacted the CEO of an industry competitor to discuss a potential strategic combination of the two companies. As discussions continued, Valspar's board and senior management realized that an alternative strategic collaboration might be more beneficial, so Valspar then contacted the CEO of the second-largest comparable firm in the industry, Sherwin-Williams, which had previously expressed an interest in a business combination with Valspar. Valspar was awaiting a "compelling and pre-emptive" offer from Sherwin-Williams on an "accelerated timetable." However, several questions remained. What maximum price could be justified in a bidding contest? What was the probability that antitrust regulators would eventually block the deal, resulting in a waste of time and resources to structure a deal that would later collapse? Could the negotiating teams for Valspar and Sherwin-Williams structure the merger agreement to allow for a potential consent decree?

  • Square, Inc. IPO

In November 2015, Square, Inc. launched its initial public offering (IPO). The IPO had an offering price of $9 per share, lower than the $11 to $13 estimate that had been outlined in the preliminary prospectus and 42% below the $15.50 share price in its most recent financing less than a year before. The lower than anticipated pricing of Square's IPO, and the implied valuation, had left investors and market observers wondering if this was an indication of a valuation bubble, or a shift in the market. The case provides an overview of the IPO process, and examines U.S. IPO trends from the 1980s to mid-2010s. It explores the rationales behind an increasing number of $billion + private valuations, known as 'unicorns', and explores who the winners and losers are when such firms go public at lower valuations.

  • 3P Turbo - Cross Border Investment in Brazil

Faced with uncompetitive regulation, the founder of 3P Turbo, Jason Starks, was contemplating setting up a facility to manufacture automobile turbochargers in Brazil. At that time, Brazil was experiencing huge political turmoil, resulting from the Petrobras scandal that involved prominent business and political leaders, and the impeachment of the country's president, Dilma Rousseff. It was also hit with the worst recession in two decades, exacerbated by low commodity prices and the slow-down of the Chinese economy. Jason had engaged with a consultant to gather some revenue and cost projections for this cross border investment to see if it would create value and make financial sense. More importantly, he needed to access the economic and political risks of Brazil and its automobile industry, and determine if the timing was right to enter the Brazilian market.

  • Sathavahana Strategies for Financial Turnaround

The managing director of Sathavahana Ispat Limited (SIL) was relieved when his company’s expanded manufacturing facilities commenced operations on April 1, 2015, after a delay of more than a year. Though he had a reason to rejoice, the managing director also had concerns about SIL's rising borrowing costs and dwindling liquidity. Accordingly, he approached the Indian Women's Bank to replace the company's high-cost debt to the extent of ?3 billion and to raise a corporate loan of ?1 billion. Would the proposal be sanctioned? Or would it be rejected due to SIL's weak financials, subdued market conditions and the ongoing global economic slowdown?

  • Has LIBOR Lost Its Stature in Derivatives Markets?

In April 2016, a large U.S. proprietary trading group in New York, with a significant fixed-income portfolio, was debating what discount rate to use to value the group's interest-rate swap portfolio. The counterparties to these swaps were major banks, and the deals were collateralized. Criticisms about the use of the London interbank offered rate (LIBOR) as a benchmark for valuing these swaps were circulating, and there were reports that LIBOR was being manipulated. There was talk about an alternative, nearly "risk-free" reference rate that could potentially be launched during 2016. Was it time for the trading group to substitute some of its maturing LIBOR-based interest-rate swaps with overnight index swaps.

  • Fonderia del Piemonte S.p.A.

The managing director of this specialty foundry must decide whether to approve a major investment to automate part of her plant's production process. The case presents information sufficient to build cash-flow forecasts of production costs incremental to this investment. Discounted cash flow (DCF) analysis reveals that this investment project is attractive but that the benefits hinge on important assumptions about the plant's business volume, the manager's ability to lay off workers over the objections of a labor union, and the hurdle rate. This case provides an update for the case Fonderia de Torino.

  • Helados La Valentina

In the midst of the macroeconomic crisis in Venezuela, Luis Marcano − business analyst with Productos La Valentina (PLV, for its acronym in Spanish) Group − had been assigned the valuation of the most emblematic enterprise in the group, Helados La Valentina (Ice-Creams La Valentina, HLV for its acronym in Spanish) in order to assess the convenience of the divestiture or retention of the business. PLV Group analyzed what changes they needed to make to their business portfolio in order to reduce political risk exposure related to its investments in Venezuela. In this context, Helados La Valentina − business around which the major PLV Corporation had been built − was a possible choice for divestiture. Marcano was to present the Investment Committee with a recommendation that would define the future of the business within the group. Should the group sell HLV or not? The answer to this question called for the valuation of the business in no time, based on the information available at that time. In order to embark on this endeavor, Marcano had to choose the valuation method that could better adjust to the existing constraints (a week's time margin) and − in turn − create a response that might be sufficiently robust to satisfy the inquisitive committee.
