  • Tata Motors: Compensation Restructuring

The head of Performance and Rewards at Tata Motors Limited (TML) was reviewing the reports before him and deliberating their implications. The company had just embarked on a major initiative to identify employees' concerns and the results were not good. Employees across all levels, including senior leadership, were unclear about their compensation. The employees were not the only ones who were puzzled; even the recruitment team at TML had no clear basis for determining and comparing the salaries of new recruits. It was obvious that something needed to be done. Should it be a major restructuring of the compensation or could the matter be solved by simply educating the employees? Should the company remove some of the components from its compensation structure to make it simpler? If so, which components could be dropped and which should be retained?

  • Proxy Access at Whole Foods

Proxy access grants shareholders meeting certain ownership requirements the right to nominate directors for election to the board without going through a typical proxy contest. In August 2010 the SEC approved a rule granting proxy access for shareholders meeting specific ownership requirements. The rule was challenged by US Chamber of Commerce and overturned in July 2011. Shortly after the rule was overturned, rules governing shareholder proposal process were amended so that shareholders could put forward proposals on proxy access at individual companies. Proxy access did not garner significant attentional during the first two proxy seasons after the rule was amended. However in the 2015 proxy season, over 100 companies received proxy access proposals. This case chronicles the debate on proxy access from the perspective of institutional investors, shareholders, and US company's board of directors and management.

  • Novartis Pharmaceuticals Corp: Redefining Success in the U.S. (B)

This (B) case describes the actions Andre Wyss, President of Novartis Pharmaceuticals Corp., took in early 2012 to transform the company's General Medicines group and build its speciality medications marketing the selling capabilities in the face of falling revenues and an imminent workforce reduction. Rather than downsize the organization quickly to save costs, Wyss and his team took a different approach. They told the organization's employees that there would be a significant workforce reduction but it would not occur for several months. In the meantime, Wyss asked the employees to help build the new capabilities and put processes in place to support the move into specialty medications. It was a bold decision and defied convention.

  • Sold - to the Highest Bidder in Japan: Operational Challenges and Culture

Most talented executives can recognize when an acquisition has strategic or financial benefits, and in this case, the decision to be acquired was an appropriate exit strategy for a successful start-up. Peter Street's start-up had been growing quickly and was building a reputation for reliability in a booming industry when a Japanese firm offered to pay a premium for the U.S. firm. Having done business in Japan (and extensively with the acquiring company) before the sale of his company, Street entered the acquisition with enthusiasm. As part of the deal, Street's former company would continue to operate in the United States as a division of its parent company and Street would remain as CEO. A few months into the transition, however, Street discovered a huge difference between working with and working for the Japanese firm. Cultural norms for confronting seemingly small problems quickly became bigger operational issues, and Street experienced a growing dichotomy between corporate (in Japan) and his division (in the United States). This case focuses on the challenges of implementing a cross-border acquisition.

  • Indian Overseas Bank: Triggering Change

Several experts had drawn attention to a peculiar problem existing in public-sector banks in India. There seemed to be two distinct generations: experienced employees who would be superannuated in the next four to five years; and newer employees who had come on board in the last four to five years. Though these young employees were academically sound, they lacked competence acquired through experience and thus were hesitant in taking on responsibilities. The older generation was slowly withdrawing. Management at Indian Overseas Bank (IOB) knew that in order to improve motivation and encourage higher productivity, the company had to trigger change and transform the mindsets of its employees.Harnessing the energies of young members of the marketing team, IOB ran a unique campaign involving all employees called Rang De Basanti. Initial results were encouraging. However, two problems continued to arise: the underperformance of one particular region and the problem of keeping up the momentum and sustaining the change.

In 2011, the 5-year revenue projections were revised significantly downward and Wyss needed to cut costs while also building the organization's capabilities quickly in early 2012.

  • Clifford Chance: Women at Work

It was October 2013, and global law firm Clifford Chance was coming under fire for the second time in less than a year for reputedly failing to provide a supportive work environment for its female associates. A memo entitled "Speaking Effectively" was just issued to the U.S. offices of the firm and immediately sparked controversy, as some female associates claimed that the gender-specific advice in the memo was condescending and sexist. This controversy came close on the heels of a memo released in November 2012, in which a third-year associate gave her resignation and explained why she was leaving the firm by detailing her unsustainable schedule as both a corporate lawyer and a mother to young children. Both memos were leaked on the internet, prompting bloggers, media outlets, and the public to chime in with their own opinions as to whether the firm was sexist. How should Clifford Chance have responded to these allegations? Was the firm sexist, or were things being taken out of context and blown out of proportion? If the firm determined that it needed to take heed and create a more inclusive culture that better met the needs of its female associates, where should it begin? Finally, how were the lessons learned in this case applicable to corporate America in 2014, where only 5.2% of Fortune 500 CEOs and 16.9% of board members in the United States were women?
