Who Will Guard the Guardians?: International Corporate Governance
內容大綱
This technical note explains what corporate governance is and why it is important. It examines how corporate governance is practised within developed and developing economies by identifying four distinct models of capitalism in which corporate governance is embedded: liberal market economies, coordinated market economies, family-led market economies and state-led market economies. Depending on the model of capitalism in which they operate, governance actors — owners, managers, directors and employees — engage distinct governance practices. The note concludes with a discussion of the corporate governance challenges facing multinational firms.
學習目標
The objectives of this technical note are to introduce students to corporate governance and discuss the tension between the shareholder and stakeholder orientations in different corporate governance systems. The note illustrates the variety of internal and external corporate governance mechanisms operating within the global economy; how and why these mechanisms vary from country to country and the unique corporate governance challenges faced by multinational firms in different corporate governance systems. The note is suitable for use in courses on Strategy, International Business and Business & Government. It can also be a centrepiece in a course dedicated to Corporate Governance.
