  • How to Be a Top-Gun Deal Maker

When it comes to negotiating, attitudes and approaches matter more than people think. In fact, master negotiators share many attitudes and approaches to deal making. Rather than focusing on differences and incompatibilities — a tendency known as incompatibility bias — they first focus on similarities and common values and deal with differences later. Recognizing that a wide gap in interests calls for resilience and value creation, they share a spirit of cooperation and rarely resort to destructive threats and ultimatums. Despite being focused on harmonizing interests and striking deals, they see the fragility of the deal-making process and remain conditioned to walk away from the negotiating table if necessary. Most importantly, they never underestimate the value of continuous planning and preparation. Based on numerous interviews with top deal makers from the worlds of business, diplomacy, sports and labour, this article highlights how the best in the business achieve results.

  • A Strategic Way to Enter New the Era of Strategy

We are entering a new era of strategy, transitioning from strategic management to strategic prototyping. In this new era, strategy needs to be on the minds of everyone concerned — all the time. And that’s only a good thing if everyone across the organization shares the same view of what strategy means. Unfortunately, the meaning of the term is often blurred in people’s minds. However, to avoid developing a non-strategic strategy, a firm has to develop a shared understanding. Simply put, strategy is what dictates how everything within an organization is put in motion through defining what it wants to achieve as a business. Firms should consider the following four questions: What does success look like for us and how does that translate into objectives? What businesses are we in and what ones are we not in? What value proposition sets us apart from competitors? What activities do we perform internally and what activities do we outsource, and how do we conduct these activities differently than competitors? Strategy development is a never-ending process — one that needs to be managed and adjusted as market conditions shift. Ultimately, for a strategy to work, it must be owned and supported by the daily decisions and actions of all employees across all levels of the organization.

  • The Cable and Satellite Broadcasting Association of Asia: Protecting Intellectual Property

The vice-president of policy for the Cable and Satellite Broadcasting Association of Asia (CASBAA) was asked to deal with the growing problem of signal piracy in the Philippines. CASBAA was an organization of 125 companies involving all elements of the pay television industry in Asia, including major multinational content and broadcasting companies, as well as leading Philippine cable distributors. These were multinational content producers and broadcasters concerned about the growing issue of cable television signal piracy in the Philippines — a key bellwether market for many CASBAA members. Among CASBAA’s key objectives was the protection of the intellectual property of its members. CASBAA had already pursued legal options to curtail piracy in the Philippines with limited success and the vice-president was tasked with developing a strategy that did not involve expensive litigation. To do so, he needed to present a plan, with milestones, to his constituents to demonstrate that CASBAA was capable of dealing with its members’ concerns.

  • The Ombudsman: Examining Portfolio Risk in Troubled Times (A)

The chief compliance officer at NYR Financial Services (NYR) faces a decision-making dilemma regarding whether or not to increase a settlement offer to a client. This particular client has lodged a complaint against the investment firm, alleging that his money was inappropriately invested, given the risk tolerance level of his portfolio. The client believes that as a result of this mismanagement, he has lost over $100,000. The complaint has been reviewed by several panels of finance experts, including the Ombudsman for Banking Services and Investments (OBSI), with the latter concluding that NYR owes the client a settlement of $40,000. NYR’s compliance officer must now decide between two options: meet the client somewhere in the middle, or inform the OBSI that NYR will not be following the panel’s recommendation. If NYR chooses the latter option, OBSI will go public with NYR’s refusal to abide by the ombudsman’s advice. See supplemental case 9B14N026.

  • Penn West Petroleum Ltd.

In 2015, Penn West Petroleum Ltd. (Penn West), a large Canadian oil company, made multiple acquisitions that led to a buildup of goodwill (i.e., the purchase price was higher than the net book value of the acquisitions). When the economic environment worsened, there was concern that this goodwill had been impaired. The concern deepened as economic factors improved but Penn West’s stock performance continued to be poor, indicating that the market believed that the company was potentially overvalued. A review of Penn West’s accounting practices revealed irregularities, and industry analysts — as well as the U.S. Securities and Exchange Commission — began to question the value of the company’s goodwill. It was becoming clear that Penn West had been overly optimistic in its forecasts regarding revenue streams from its properties. Would the company be able to move forward? How?

  • AyurVAID: Grandma's Remedies or Blue Ocean Strategy

AyurVAID is a chain of Ayurveda (traditional Hindu medicine) hospitals founded by Rajiv Vasudevan, who moved to entrepreneurship after 16 years in the corporate sector and identified Ayurveda’s potential for root-cause diagnosis. AyurVAID provides Ayurveda-based healthcare to treat non-communicable diseases and chronic diseases, which together comprise two-thirds of the Indian healthcare market. Ayurveda’s system of root-cause diagnosis and subsequent disease management results in no side effects, but most Ayurveda companies are content to operate in the wellness sector and to provide Ayurvedic formulations in the over-the-counter consumer market. AyurVAID hospitals are positioned differently, catering to people with lifestyle diseases and offering long-term solutions to many chronic diseases. Over a period of 10 years, AyurvVAID’s approach has led to rapid growth for the hospitals; however, the founder and chief executive officer wants to identify the most appropriate strategy for AyurVAID. Should it focus on strengthening its position as a multi-specialty hospital, or should it explore specializing in India’s large and growing market for the treatment of diabetes?

  • Hindustan Unilever Limited: Missed Call Mobile Marketing in Rural India (A)

Hindustan Unilever Limited (HUL) had always focused on new and innovative ways to connect with rural customers in India. However, like many players in the market, the company found it challenging to reach certain areas. Popular media channels like television and radio were limited in rural India, and power cuts further reduced the reach of electronic media. Yet mobile penetration was relatively high and growing. Inspired by the success of its mobile “missed call” marketing campaign for Wheel detergent, HUL was considering extending the campaign to all of its brands. Should it introduce a dedicated mobile marketing channel, whereby customers could receive both entertainment and advertising by making missed calls? Were customers likely to choose a mobile phone-based entertainment channel? Would it be a sustainable media for creating long-term brand awareness among target customers?
