寧靜合併:凱基銀行的擴張之路
本個案旨在探討銀行業併購之關鍵成功因素,以致在最小的變革阻力下達到企業預期的併購效益。過去在探討企業併購的議題上,多聚焦於機構領導人或高階經理人間的談判斡旋,經常忽略在執行併購方案時,中階及基層人員亦扮演舉足輕重的角色,充分協調與配合的組織內關係,有助於企業達成寧靜合併的目標,也可加速實現預期的合併效益。本個案主要由銀行業中階管理人員──分行協理的角色出發,探討其在面對併購發生時,可能採取的管理作為,進而瞭解組織內中階管理人員在承上啟下的重要性,最後貢獻於銀行業達成寧靜合併的目標。 -
